The Business Counsel reports to the Group SVP Legal & General Counsel and will provide legal and commercial advice and guidance on Group matters, including commercial deal structuring, transactional risk assessment and support on compliance and regulatory requirements. The Business Counsel is deeply involved in the commercial negotiation process, including analysis and support for commercial transactions, structuring, drafting, reviewing, and negotiating contracts, including all appropriate contract documentation, ancillary agreements and other agreements as required.
What we want:
We are looking for an ethical, bright, diligent, self-motivated and enthusiastic lawyer to be based in Port of Spain or any of our other Trinidad locations as agreed. You should be extremely proficient with Office 365, word processing; spreadsheet and presentation skills, document and contract management and you should have excellent writing and organisational skills along with, not just an ability, but a willingness, to work under pressure - sometimes! You must have a Law degree from a recognised university and you must be admitted to a recognised bar, with at least 3 years experience gained in a Caribbean law firm or in-house with a corporation. You should have strong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of an organisation with strong negotiating skills in respect of both legal and financial/commercial issues as well as the ability to establish and maintain strong relationships within the organisation's legal department and across all businesses. It goes without saying you should be able to take the initiative and work independently with little or no supervision.
What would you actually be doing:
You would offer advice on a variety of legal issues such as contracts, property interests
You would negotiate, draft, write, and execute agreements and contracts on behalf of Massy.
You would be working with other lawyers and alongside other departments within the company and providing analysis, research, counsel and advising on contract status, legal risks, and the legal
liabilities associated with different deals.
You would be involved in researching and anticipating unique legal issues that could impact Massy and you would have an opportunity to be involved in many different spheres of the business.
You would understand what it is to be a corporate secretary and the role of a corporate secretary including ensuring the integrity of the relevant subsidiary’s governance framework, being responsible for the efficient administration of relevant subsidiaries, ensuring compliance with statutory and regulatory requirements and implementing decisions made by the Board of
Directors of the relevant subsidiary.
You would understand how to manage board and committee meeting logistics, attend and record minutes of board and committee meetings; facilitate board communications and maintain key
corporate documents and records.
On any given day, you might work on your own or with other members of the team on anything and everything from employment and commercial work, advising HR, assisting with corporate secretarial matters, projects and litigation, to dealing with basic contracts, trading agreements and marketing communications.
Qualifications and Experience
At least 5-7 years of legal/commercial experience in private practice or in-house at a corporation
involved in similar business lines to Massy.
A Bachelor of Laws degree (LL.B) from a recognized university
A Legal Education Certificate (or equivalent) from a recognized law school
A Member in good standing of the Law Association of the respective jurisdiction
Has knowledge and experience of legal, regulatory, corporate secretarial, governance, management procedures, policies and techniques
