Job Description
The Corporate Secretary/Legal Officer provides corporate secretarial services to the Board of Directors of TTPost and general legal advice to the Corporation, including but not limited to contract and corporate governance.
Key and Critical Responsibilities
Provides Corporate Secretarial advice and service to the Board of Directors of TTPost assuring that the Board meets its obligations in accordance with the Trinidad and Tobago Postal Corporation Act 1999 and other pertinent laws of Trinidad and Tobago
Prepares for and attends meetings of the Board of Director, ensuring that all related documents and notices are prepared and distributed, including minutes of meetings.
Participates and actively contributes to the leadership and strategic direction of TTPost as a member of the Senior Management Team
Leads and directs the Corporate Secretarial, Legal and Records Management Teams in execution and achievement of the Divisions strategic and operational goals, objectives and targets outlined in the Corporations Strategic and Operational Plans
Identifies, implements and maintains statutory registers and other Corporation records as required by law and provides related advice to ensure the Corporation meets its statutory requirements
Provides advice to the Managing Director, the Board of Directors and the Management Team on all legal matters
Directs and liaises with external Counsel as required and assures that the Corporations interests are properly represented.
Creates, negotiates, manages and updates the Corporations contracts
Liaises with external entities such as the CPU, UPU and RIC to ensure the Corporations compliance with the relevant legislation and regulations
Regulates, monitors and controls all matters pertaining to the legal management of the Corporations properties
Represents the Managing Director at meetings/functions as required
Chairs and /or actively participates in key committees in the Corporation
Supervises assigned workforce, monitoring, appraising, motivating and disciplining as required
Monitors and ensures adherence to health, safety and environmental rules, regulations and guidelines
Performs other related duties as may be required by the job function
