Job Description
The Corporate Secretary is a senior leadership position responsible for providing corporate governance, legal and regulatory expertise to the Corporation. The successful candidate will serve as a key advisor to the Board of Directors on corporate governance and regulatory matters, while ensuring the Corporations compliance with its statutory and regulatory obligations.
Key and Critical Responsibilities
Provide senior-level advice to the Board on legal, corporate governance, regulatory, and compliance matters.
Ensure the Board and its Board Committees conform to applicable statutory obligations and corporate governance requirements.
Coordinate and attend meetings of the Board of Directors and Board Committees.
Ensures the Board and its Board Committees have the information and analysis they need to support Directors in meeting their fiduciary responsibilities.
Record, maintain, and securely store minutes, Board decisions, and other corporate records.
Ensure that action items arising from Board and Board Committee meetings are appropriately recorded and disseminated.
Monitor changes in the Corporations statutory and regulatory environment and advise management accordingly.
Serve as a primary liaison between the Corporation, government ministries, statutory authorities, and other external stakeholders.
Manage and maintain effective relationships with relevant government and external stakeholders.
Provide confidential corporate governance advice to the Board, General Manager, executive management, and other officials.
Provide oversight of the Secretariat function and ensure the effective delivery of corporate secretarial services.
Support the development and execution of strategic plans, initiatives, policies, and corporate objectives.
Provide guidance on legal and regulatory compliance and assist in identifying and mitigating legal and corporate risks.
Provide leadership, coaching, and mentoring to staff within the Department.
Participate in relevant environmental, social and governance (ESG) initiatives.
Perform other related duties and assignments as directed by the General Manager or Board of Directors.
